Upāyosis Affiliate Program Terms

1. Overview

These Affiliate Program Terms (“Terms”) govern your participation in the Upayosis affiliate program (the “Program”) promoting our 12-month training program delivered via Thinkific (the “Program Product”). By applying or participating, you agree to these Terms.

2. Enrollment & Accounts

We review applications and may accept or reject at our discretion. If accepted, you’ll receive a unique tracking link and (optionally) a coupon code. You must keep your account info current.

3. What You’re Allowed to Promote

You may promote only the Program Product. These Terms do not cover other offerings (e.g., coaching, retreats, or other services), which are excluded from commissions unless we approve in writing.

4. Commission & How It’s Calculated

  • Structure. Commission is €200 per full €1,200 Program, pro-rated per month actually paid by the referred student.

  • Example: if a referred student pays 7 monthly installments of €100, your commission is 7/12 × €200 = €116.67.

  • Scope. Commissions apply only to net tuition actually received for the Program Product and exclude taxes/VAT/sales tax, discounts, chargebacks, and refunded amounts. If a payment is refunded or charged back, the corresponding pro-rated commission is not earned (or is clawed back from future payouts).

  • One program only. No commission on add-ons, upgrades, coaching, retreats, or other products unless agreed in writing.

5. Attribution (how credit works)

  • Tracking. We use Thinkific’s affiliate tracking. A cookie is set when a visitor lands on a Thinkific URL carrying your affiliate parameter (e.g., ?ref=YOURCODE).

    • For example: https://www.upayosis.com/path-between-worlds?ref=YOURCODE

  • Cookie window. 90 days. (Covers whole period between day of launch - end of late registration).

  • First-touch model. The first affiliate whose link the visitor clicks (that sets the cookie) gets the attribution for that visitor’s subsequent eligible purchases of the Program Product during the cookie window and for renewals while the subscription remains active. Later affiliate clicks do not override.

  • Coupon codes. If we issue you a unique coupon code and a referred order uses that code, we may attribute the order to you regardless of cookie (at our discretion to resolve edge cases).

  • House ads. Our own marketing does not override an existing valid affiliate attribution (“no override”).

6. Payouts

  • Schedule. We pay quarterly, Net-30 after the end of each calendar quarter.

  • Hold for refunds/chargebacks. A 14-day hold applies to each underlying transaction before the corresponding pro-rated commission becomes payable.

  • Methods. Bank transfer (SEPA) or Wise. The affiliate pays any receiving bank/Wise/FX fees.

  • Currency. EUR.

  • Minimum threshold. €200. Unpaid balances roll over.

7. Promotion Rules (keep it simple & clean)

  • Use truthful, non-misleading claims; no medical/therapeutic claims.

  • No spam. Email must comply with applicable law (e.g., CAN-SPAM/PECR).

  • Use only approved logos/creative; don’t modify our marks.

8. Disclosures & Privacy

  • Affiliate disclosure. You must include a clear disclosure (e.g., “I may earn a commission…”) where links appear, and comply with FTC and EU rules on endorsements.

  • Data. You must handle any personal data lawfully and in accordance with GDPR; you may not export/scrape customer PII. We share only what’s necessary to operate the Program.

9. Term, Termination, and Changes

  • These Terms start when you join and continue until terminated.

  • Either party may terminate at any time on 7 days’ notice, or immediately for breach, fraud, or misconduct.

  • We may update these Terms with 7 days’ notice. Changes apply prospectively.

10. Taxes

You’re responsible for your own taxes. We may request reasonable tax/identity documentation before paying.

11. Limitation of Liability; Indemnity

  • Liability cap. Our aggregate liability to you is capped at the commissions paid to you in the prior six (6) months.

  • Indemnity. You will indemnify and hold us harmless from third-party claims arising out of your promotional activities, content, or breach of these Terms.

12. Independent Contractors

You’re an independent contractor, not our employee or agent. No authority to bind us. Sub-affiliates require our prior written consent.

13. Governing Law; Venue

These Terms are governed by the laws of the Netherlands. Courts in Amsterdam, the Netherlands have exclusive jurisdiction.
